4. Enquiries and Quotations

Submitting an enquiry through our website, form, email, LinkedIn, WhatsApp, or any other communication channel does not create a binding service agreement.

A project begins only when:

  • The scope of work is discussed and agreed upon

  • Pricing, timeline, and deliverables are confirmed

  • Required materials are shared

  • Advance payment or agreed confirmation is received, where applicable

Quotations are based on the information available at the time of discussion. If the project scope, volume, complexity, timeline, or requirements change, the quotation may also change.

5. Client Responsibilities

Clients are responsible for:

  • Providing clear project requirements

  • Sharing complete and accurate source materials

  • Confirming the target audience, curriculum, board, exam, style, format, and guidelines

  • Reviewing drafts and giving timely feedback

  • Ensuring that materials shared with SpineBridge do not violate third-party copyrights or rights

  • Making payments as agreed

  • Approving final deliverables before use, publication, printing, or distribution

Delays in sharing inputs, approvals, files, or feedback may affect the project timeline.

6. Project Scope and Revisions

The number of revisions, review rounds, and changes will depend on the agreed scope of work.

Reasonable revisions may be included if they are part of the original agreed scope. However, additional charges may apply for:

  • Major changes after approval

  • Change in project direction

  • New content requirements

  • Additional chapters, pages, questions, designs, or formats

  • Urgent turnaround requirements

  • Rework caused by incomplete or incorrect instructions from the client

  • Changes requested after final delivery

7. Timelines and Delivery

SpineBridge aims to meet agreed timelines. However, timelines may vary depending on project complexity, client feedback, availability of source materials, revision rounds, technical requirements, and unforeseen circumstances.

Delivery dates are estimates unless specifically agreed in writing as fixed deadlines.

SpineBridge will not be responsible for delays caused by late inputs, delayed approvals, incomplete materials, third-party dependencies, technical issues, or circumstances beyond our reasonable control.

8. Payments

Payment terms will be discussed and agreed upon before starting a project.

Depending on the project, SpineBridge may charge on the basis of:

  • Per word

  • Per page

  • Per question

  • Per chapter

  • Per hour

  • Per project

  • Monthly or milestone basis

  • Any other mutually agreed model

Advance payment may be required before work begins. Balance payments must be made as agreed before or upon delivery, depending on the project terms.

All applicable taxes, payment gateway charges, bank charges, or transaction fees, if any, may be charged separately unless otherwise stated.

9. Cancellation and Refunds

Cancellation and refund terms depend on the project stage and agreed scope.

If a project is cancelled after work has started, SpineBridge may charge for:

  • Work already completed

  • Time spent on research, planning, coordination, writing, editing, designing, review, or project management

  • Resources assigned to the project

  • Any non-refundable third-party costs

Refunds, if applicable, will be considered on a case-by-case basis and only for the unworked portion of the project.

No refund may be applicable for completed, delivered, or approved work.

10. Intellectual Property

Unless otherwise agreed in writing:

  • Website content, brand name, logo, service descriptions, graphics, design elements, and original materials created by SpineBridge for its own business remain the property of SpineBridge.

  • Client-provided materials remain the property of the client or the respective rights holder.

  • Final project deliverables may be transferred to the client after full payment is received.

  • Drafts, concepts, samples, internal notes, templates, research files, working files, and process documents may remain the property of SpineBridge unless specifically included in the agreed deliverables.

Clients must ensure that any material shared with SpineBridge is legally owned, licensed, or authorized for use.

11. Confidentiality

SpineBridge respects the confidentiality of client projects, unpublished manuscripts, educational content, assessment material, business information, and project documents.

We may share project-related materials with internal team members, freelancers, editors, subject matter experts, designers, translators, project managers, or service partners only when necessary to complete the work.

Clients are also expected to keep SpineBridge’s pricing, proposals, samples, internal processes, and confidential communication private unless written permission is given.

12. Samples, Portfolio, and Work Showcase

SpineBridge will not publicly share confidential client materials, unpublished content, or sensitive project files without permission.

However, SpineBridge may mention general experience, service categories, industries served, or non-confidential project types for marketing or portfolio purposes.

Specific client names, logos, testimonials, or project samples will be used publicly only with permission.

13. Freelancer and Work-With-Us Applications

Submitting a freelancer, vendor, editor, writer, SME, translator, designer, or work-with-us application does not guarantee selection, engagement, assignment, or payment.

SpineBridge may contact applicants based on project requirements, expertise, quality, availability, and suitability.

Freelancers and vendors may be required to follow project guidelines, confidentiality requirements, quality standards, deadlines, and agreed payment terms.

14. Quality and Accuracy

SpineBridge aims to provide professional, accurate, and quality-focused services. However, educational, editorial, and publishing work may require client review and approval before final use.

The client is responsible for final verification of:

  • Facts

  • Curriculum alignment

  • Board or exam guidelines

  • Academic accuracy

  • Legal compliance

  • Copyright permissions

  • Printing, publishing, or distribution readiness

  • Final approval before publication or use

SpineBridge is not responsible for losses caused by the client’s failure to review or approve final materials properly.

15. Educational Content Disclaimer

SpineBridge provides educational content and publishing support services. We do not guarantee specific academic results, sales performance, ranking improvement, exam success, publication approval, business growth, or market response.

Any consultancy or recommendation provided is based on available information and professional judgment, but final decisions remain the responsibility of the client.

16. Third-Party Tools and Services

SpineBridge may use third-party tools, platforms, software, hosting services, email services, form tools, storage platforms, communication tools, editing tools, design tools, or conversion tools for project and business operations.

We are not responsible for interruptions, data loss, service issues, downtime, or policy changes caused by third-party platforms.

17. Limitation of Liability

To the maximum extent permitted by applicable law, SpineBridge will not be liable for indirect, incidental, special, consequential, or business losses, including loss of profit, loss of opportunity, loss of data, reputational loss, publication delay, printing loss, or third-party claims arising from use of our website or services.

Our total liability, if any, will be limited to the amount paid by the client to SpineBridge for the specific service giving rise to the claim.

18. Indemnity

You agree to indemnify and hold SpineBridge harmless from claims, losses, damages, liabilities, costs, or expenses arising from:

  • Your misuse of the website

  • Your breach of these Terms & Conditions

  • Inaccurate or unlawful materials provided by you

  • Copyright or intellectual property violations in materials supplied by you

  • Unauthorized publication or use of content

  • Your failure to obtain required permissions, approvals, or licenses

19. Communication

SpineBridge may communicate with clients, applicants, freelancers, and vendors through email, phone, WhatsApp, website forms, Google Forms, LinkedIn, or other agreed communication channels.

You are responsible for providing accurate contact details and checking communication regularly during active discussions or projects.

20. Changes to Services or Terms

SpineBridge may update its services, website content, pricing structure, policies, and these Terms & Conditions from time to time.

Updated terms will be posted on this page with the revised “Last Updated” date. Continued use of the website or services means you accept the updated terms.

21. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by the laws of India.
